General terms
These Terms of Service govern the provision of AI implementation and intelligent business automation services by VisionRAI. They set out the responsibilities of VisionRAI and the customer, acceptable use, payment terms, and procedures for termination. By using our services you accept these terms.

Eligibility
To use VisionRAI services you must be a legal entity or a person authorised to act on behalf of a legal entity and capable of entering into binding agreements under Swiss law. We may refuse or suspend service to applicants who do not meet eligibility criteria.
Services are intended for organisations and business users. Individuals must be at least 18 years old or have the legal capacity to enter into contracts under applicable law.
You must use VisionRAI services in compliance with applicable laws and for legitimate business purposes such as process automation, data-driven decision support, and operational efficiency improvements.
Provision of certain services may be restricted in some jurisdictions. Customers are responsible for ensuring that their use of the services complies with export controls and local regulations.
Account and access
Customers may create accounts to manage subscriptions, access project resources, and view billing information. Account holders are responsible for maintaining accurate contact information and for all activity under their account.
You agree to provide truthful, accurate and complete information when registering and to keep that information up to date. Failure to provide accurate details may limit our ability to provide services effectively.
Keep account credentials secure. Notify VisionRAI immediately if you suspect unauthorized access. We will take reasonable steps to protect account security but are not liable for losses resulting from compromised credentials due to customer negligence.
Accounts and subscriptions are non-transferable without prior written consent from VisionRAI. Business transfers involving account access require a formal agreement.
If you suspect your account has been compromised, contact VisionRAI support immediately so we can take steps to secure the account and advise on mitigation.
We may suspend access to services if we reasonably believe there is unauthorized activity, non-payment, or a material breach of these terms. Suspension may be lifted once issues are resolved to VisionRAI's satisfaction.
Services provided
VisionRAI provides consulting, implementation, integration, and support services focused on AI solutions and intelligent business automation. Details of deliverables and timelines are set out in project proposals or statements of work agreed with the customer.
Scope, features, and delivery timelines may evolve during implementation. VisionRAI will inform customers of material changes and seek agreement on adjustments to cost or schedule where appropriate.
We aim to provide reliable services with reasonable availability. However, scheduled maintenance or technical limitations may affect availability. We will communicate planned outages when feasible.
Usage rules
When using our services, customers must adhere to rules designed to ensure legal, ethical and secure operation. Prohibited activities are outlined below.
- Do not use services to process data obtained unlawfully or for activities that infringe third-party rights.
- Do not attempt to reverse-engineer or circumvent security measures implemented by VisionRAI.
- Do not deploy models or automations in contexts that require professional regulatory certifications without appropriate oversight.
- Do not submit harmful or malicious code or datasets intended to bias or degrade system performance.
- Respect data minimisation principles; only supply data necessary for the agreed scope of work.
- Maintain appropriate safeguards when sharing credentials or granting integration access to third parties.
- Follow reasonable security recommendations provided by VisionRAI during implementation and operations.
User content
Customers may provide content such as datasets, configuration files, and business rules required for implementation. This section explains ownership, licensing, and responsibilities.
You retain ownership of the content you supply to VisionRAI. Supplying content does not transfer ownership of your data unless explicitly agreed in writing.
By providing content you grant VisionRAI a limited, non-exclusive licence to use, copy, and process that content as necessary to deliver agreed services, including for testing and quality assurance.
You are responsible for ensuring that content you provide is lawful, does not infringe third-party rights, and is free from sensitive personal data unless previously agreed and protected by appropriate legal safeguards.
Upon project completion or termination, VisionRAI will delete or return customer-provided content per the data retention schedule set out in the project agreement, subject to backup policies and legal obligations.
Intellectual property
VisionRAI retains ownership of pre-existing intellectual property, proprietary tools, templates, and models used or refined during projects. Custom code or deliverables developed specifically for the customer may have ownership or licence terms set out in the project agreement.
- You may not reproduce or distribute VisionRAI proprietary materials except as permitted in writing.
- Reverse engineering of VisionRAI software, models, or proprietary tools is prohibited.
- Where open-source components are used, they remain subject to their respective licences and obligations.
Paid services and billing
Paid services include fixed-fee projects, time-and-materials engagements, and subscription-based access to managed automation platforms. Pricing and invoicing terms are specified in statements of work or subscription agreements.
Prices are as quoted in proposals and are valid for the period stated. Any additional services beyond the agreed scope will be quoted separately.
Invoices are payable within the timeframe stated on the invoice. Late payments may incur interest or result in suspension of services. Accepted payment methods will be specified in invoices.
Subscription services renew automatically unless cancelled in accordance with the cancellation terms. Term lengths and renewal procedures are defined in the subscription agreement.
Refund policies vary by service type and are set out in the relevant agreement. Generally, refunds are not provided for services performed and delivered in accordance with an accepted statement of work.
Customers may cancel subscriptions or projects subject to notice periods and any applicable termination fees detailed in the agreement.
Fees exclude taxes, duties, and other governmental charges. Customers are responsible for any applicable taxes unless a valid exemption applies.
We may update pricing for future periods with advance notice. Existing contracts remain subject to agreed pricing for their term unless otherwise stated.
Continued non-payment may result in service suspension, termination of agreements, and recovery actions to collect outstanding amounts.
Disclaimer
VisionRAI delivers professional services and implements software and automation solutions based on current industry practices. Results depend on data quality, customer cooperation, and operational context. Statements about potential benefits are illustrative and not promises of specific outcomes.
Limitation of liability
To the maximum extent permitted by law, VisionRAI's liability for direct damages arising from services is limited to the fees paid by the customer for the specific services giving rise to the claim. VisionRAI is not liable for indirect, incidental or consequential damages.
Third-party services
Services may integrate third-party platforms or components. Use of third-party services is subject to the third party's terms and the customer is responsible for any fees or compliance obligations associated with such services.
Termination and suspension
Either party may terminate an agreement for material breach if the breach is not remedied within a reasonable cure period. VisionRAI may also terminate services for non-payment or if continued provision would violate applicable law.
Upon termination, outstanding fees become due and VisionRAI will return or delete customer data as set out in the agreement. Termination does not affect rights and obligations that are intended to survive, such as confidentiality and IP provisions.
Privacy
VisionRAI processes personal data in accordance with the privacy policy. Customers must ensure they have the necessary rights and lawful basis to share personal data with VisionRAI for processing.
Communications
Notices under these terms may be delivered by email or postal mail to the contact details provided. Electronic communications are binding and treated as received when transmitted, unless the sender is informed of delivery failure.
Changes to terms
We may revise these terms to reflect changes in services or legal requirements. Material changes will be communicated in advance. Continued use of services after changes constitutes acceptance of the updated terms.
Governing law
These terms are governed by the laws of Switzerland. Parties agree that Swiss courts have jurisdiction to resolve disputes arising under these terms, unless otherwise agreed in writing.
Dispute resolution
If a dispute arises, parties will first attempt to resolve it through good-faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as agreed, or by the competent Swiss courts.
